Listed below are our official terms of use and conditions, (hereinafter, they will be referred to as Terms or term(s)). By using this website, the user (referred to as you, your, User(s), user(s), member(s)), accepts our terms and conditions and you understand that these terms are a legally binding contract between Cannawayz Inc., and its applicable affiliate that owns or controls the Website or provides the Services that you may be accessing or using (hereafter, Cannawayz, Websites, Website, we, our, us). Please understand that simply by accessing, registering and/or utilizing the Cannawayz Websites/Services, you hereby covenant, accept, and warrant your acceptance of these terms, and that these terms officially govern your access to and use of, any of Cannawayz’ (1) websites, external links and portals, mobile applications (for iPhone and Android), broadcasts, streams, and any software, including Cannawayz.com and all other Websites associated with Cannawayz, as well as (2) social media pages (collectively, the Websites, links, or portals), including but not limited to any accompanied services, streams, broadcasts, media, photos, advertisements, derivatives, videos, specific functions, features, content, tools and links contained or offered within this agreement (hereinafter, referred to as the Services). If you do not accept our terms, you may NOT access or use any of the Websites or Services or create an account or user profile.

Entering the Website

In order to access Cannawayz, we may require you to check a box that will indicate your agreement to all of our Terms, Revised terms, Privacy Policy, notices, disclosures and other agreements. In addition, we may also require you to verify your age. By accessing our website, you hereby acknowledge that you will submit the correct information and you will not falsify any material facts.

Revised Terms

Please understand that Cannawayz reserves the exclusive right to update and revise any of our terms, notices, disclosures, or other agreements and Privacy Policy. It is the user’s, NOT Cannawayz’, responsibility to be completely up to date with any and all revisions enacted upon these terms. Any further revisions will be posted on our Website or Services and will be referred to as the Revised Terms.

These specific areas of the Website and specific areas of our Services (and thus your access to or use therein) may have separate terms, disclosures, notices, conditions, policies, rules, and guidelines, which govern your access to and use of such Websites and Services (known as our Revised Terms). The Revised Terms will be posted (and sent out to you) on the applicable Website or Service and ultimately may be modified and revised at any time. If there is conflict between these Terms and any of the Revised Terms for a Website, Service, or Mobile Application of ours, the Revised Terms shall govern and take precedence over these Terms with respect to your use of or access to that Website/Service.

Cannawayz Team

At Cannawayz, we value our team and all of its members. Our team has over 10+ years of experience in both the cannabis and the tech industries. In order to avoid confusion, we may interchangeably refer to all of our employees and team members as our affiliates, directors, managers, contractors, owners, independent contractors and agents. Hereinafter, they shall all collectively be referred to as the Cannawayz team.

Privacy Policy Statement

By agreeing to use Cannawayz and/or accessing its Website and applicable Services, the user accepts Cannawayz’ Privacy Policy (which may be updated at any point in time at our sole discretion) which, in turn, governs Cannawayz’ collection and use of your personal information. Note that all registration data and information (entered by the user) about you is subject to our Privacy Policy. Please make sure that you review and acknowledge our Privacy Policybefore continuing to use Cannawayz. The user understands that by accessing or using the Websites and any of our Services, you consent to the collection and use (as described by the Privacy Policy) of this information, including the transfer of information to the United States and/or other countries for caching, indexing, processing and other use by Cannawayz. Please note that Cannawayz attempts to comply with all local, state and federal laws regarding the request of garnering personal information.

Notice of Severability

Should the conditions contained within these terms be held invalid, void, or for any foreseen or unforeseen reason unenforceable, that condition shall be regarded severable and shall not affect the legitimacy and enforceability of any remaining conditions set forth herein.

Notifying the User (Communication)

By accessing or using any of Cannawayz’ Websites or Services, the user accepts specific communications from us via our Website or Services. Please recognize that we will communicate with you in a variety of ways, including and without limitation, by phone call, text, e-mail, mobile in-app push notifications, or by posting notices and messages on the Websites or through any of the applicable Services that may or may not be affiliated with Cannawayz. By accessing or using any of our Websites or Services, you willingly and knowingly recognize that any and all contracts, disclosures, notices, agreements, and other communications that we provide to the user electronically satisfy any legal requirement that such communications must be in writing. Please remember to have your in-app push notifications turned on in order to successfully receive our messages.

Use of age for Cannawayz Platform

Cannawayz’ Websites and Services are exclusively available to individuals who are at least eighteen (18) years of age, who possess the required mental capacity (as described by local, state and federal law) and are knowingly capable of entering into legally binding contracts under the appropriate law. In addition, specific parts of our Websites and Services require you to be at least twenty-one (21) years of age for access and use. Please acknowledge the applicable Revised Terms for any further information regarding eligibility and access to Cannawayz. By accessing and using Cannawayz’ Websites and Services, you confirm that you agree to any and all additional and Revised Terms.

Note that each user may be asked to verify that they are indeed over the specific age limit during use of any of our Websites/Services. We may ask you to check a box indicating your assent that you are indeed over the specific age limit. By accessing, signing up, or using Cannawayz, you agree that you shall not misrepresent your age or lie about your identity. Note that without limiting the preceding terms, the Websites and Services are not available to individuals who are under the legal age limit and/or banned/suspended members or users. Finally, by accessing our Websites or Services and/or referring a third-party to our Websites/Services, the user agrees that any party you invite to participate in any of the Services with you is of legal age as described by the policy written above.

Understand that if you are using the Websites or Services on behalf of a business, corporation, LLC, or company (hereinafter, referred to solely as a business or entity), you represent that you have the authority to bind the business/entity to these Terms, any of our Revised Terms, our Privacy Policy, and any of our related agreements, disclosures and notices. By accessing or using our Websites or Services, the specific business (that the user registers with) agrees to hold harmless and indemnify the Cannawayz team, its affiliates, officers, agents, and employees from any and all claims, suits, or actions that can potentially arise from the use of the Websites or Services. The user agrees to hold Cannawayz innocent and harmless, as well as indemnify Cannawayz from any liability or expense arising from losses, damages, suits, judgments, litigation costs, and attorneys’ fees. It is imperative to understand that in the case that the specific user does not have the authority or legitimate consent to bind the respective business to any and all contracts/terms, you (the user) will be held individually liable for any and all actions taken under your registration data and information.

Using Our Services

To use the Websites or Services, you must first register and create an individual profile for yourself or the respective business (hereinafter, referred to as a User Profile, user profile, user information or personal information).

NOTE: By creating a “User Profile”, you automatically recognize and consent to the following terms:

Users may NOT register a username/business name (or e-mail) that (1) is already being used, (2) may impersonate another person or business, (3) belongs to another person, (4) and violates the intellectual property and copyright rights of any person or entity, or (5) is offensive (as deemed by our standards). Know that Cannawayz may reject the use of any password, username, or e-mail address for any reason.
Users must provide us with factual, accurate and complete registration information about yourself in connection with the registration process. The user is required to maintain and update his information continuously and promptly whenever any pertinent information changes.
In the case that the user provides information that is untrue, inaccurate, outdated, or incomplete, Cannawayz may suspend/terminate your account and refuse you any and all current or future access to or use of the Websites and Services (or any portion thereof).
If the user fails to update their information in a timely manner, then Cannawayz has reasonable grounds to suspect that such information is untrue, inaccurate, outdated or incomplete, which will allow Cannawayz to suspend or terminate your account and refuse you any and all current or future access or use of the Websites and Services (or any portion thereof).
All members are individually responsible for any and all activities that occur under your account, password, and username (user ID), even if you are not the authorized authority on the account. This means that if someone has your user ID or password, you will be responsible for the actions taken under this account.
Users may NOT post defamatory, derogatory, or otherwise inappropriate content (all content is subject to the authority of the Cannawayz team). Any information entered by you that is misleading or false can result in the suspension/banishment of your account or entity.
All users are responsible for maintaining the confidentiality of your password and other personal, protected and pertinent registration information. All members are responsible for the safety and confidentiality of their personal information so that others may not access any password-protected portion of the Websites or Services using your personal information originally entered when registering with us.
No member may use the personal information of another member under any circumstance.
Users may not create more than one account or duplicate accounts unless authorized to do so by the Cannawayz team.
By registering with Cannawayz, users agree that they will not share or allow any third-party to use your account on your behalf or on any other basis.

Understand that Cannawayz is not liable for any loss or damage (of any legal kind) you or any third-party suffer from as a result of your inability or failure for any reason to comply with any of the foregoing obligations.

It is imperative to understand that all information entered by the user must be accurate and complete. If the Cannawayz team has reasonable grounds to suspect that any information that you provide, is false, inaccurate, incomplete, derogatory, outdated or violates these Terms, any Revised Terms, the Privacy Policy, or any pertinent law, then we may suspend and/or completely terminate your User Profile, any related accounts, and access to and use of the Websites and Services at our sole discretion. If we suspect that you are engaging in fraudulent behavior by posting incomplete, inaccurate, slanderous and outdated information, we may terminate your account without any advance notice.

Note: Members may NOT use their User Profile to conduct commercial activities, including, but not limited to, advertising, fundraising, transactions, contests, or other promotions absent the prior written consent from the Cannawayz team. Understand that we do offer the ability to set certain preferences relating to your User Profile; however, changes to your settings may not become effective immediately or be error free.

Cannawayz is not responsible for any damage or loss resulting from Website/Service source code malfunctions, DDoS attacks, and any other cyber-attacks or hacking attempts. Cannawayz assumes no responsibility or liability for any issues or problems arising from the User Content (defined more specifically below) on your User Profile.

Any and all User Profiles must be registered by an authorized representative of the individual or business entity that is selected as the subject of the User Profile. We do not review each User Profile to determine if it was created by an appropriate party. It is solely the user’s responsibility to provide us with factual and accurate registration information. Cannawayz is not responsible for any unauthorized User Profiles that may appear on the Websites or Services.

Your personal safety and comfort is our number one concern. If you believe that a User Profile listed on one of the Websites/Services is not authorized, misleading, deceitful, or otherwise fraudulent, improper or fake, please send an email to support@Cannawayz.com, and/or call our number at (818-849-6755) and our team will attempt to resolve the issue as quickly as possible.

Content Definitions: User Content, Cannawayz Content, Third-Party Content

User Content refers to any and all text, images, photos, audio, video, graphics, reviews, all other forms of data (including location data), communication, or media that users submit or transmit to, or in connection with the Websites/Services, such as ratings, reviews, forum discussions, delivery orders, videos, messages, photos, social media posts or Services, comments, and information that the specific user publicly displays or previously displayed on their User Profile, and including any electronic data or information with respect to a User’s customers.
Cannawayz Content represents content that we create, or content that is otherwise owned by us that we make available in connection with the Websites or Services
Third-Party Content refers to content that originates from parties other than Cannawayz or users of any of the Websites or Services, which is made available in connection with the Websites or Services and not otherwise owned by us. Third-Party Content is defined more specifically in its own section below.
Website Content means all of the content that is made available in connection with the Websites or Services, including User Content, Third-Party Content, and Cannawayz Content.

NOTE: By registering with Cannawayz and submitting User Content, you agree, represent and covenant that:

You are of legal age, being no less than eighteen (18) years old (or twenty-one (21) years old, for specific areas and uses of the Website/Service) and you acknowledge that persons under legal age (hereinafter, minors) may not submit any User Content (or even register/access) to Cannawayz and its affiliated Websites/Services.
You (the user) own or have the required rights, licenses, permissions and legal authority to authorize Cannawayz, our applicable affiliates, our Websites and Services, and all users in this regard, to use the specific User Content as necessary and to exercise the licenses granted by you as provided for by the terms of this document (with respect to any and all patent, copyright, trademark, trade secret, or otherwise any intellectual property or proprietary rights to your User Content, and to any other works that you integrate into your User Content).
You (the user) are entirely responsible for any content you submit to the Websites/Services and agree that Cannawayz is not required to post or keep posted anything you provide.
Understand that once certain content is posted on our Websites/Services or on the Internet, it is not always possible to remove.
When User Content is uploaded to our Websites/Services, to any other Websites/Services not affiliated with Cannawayz or posted on any social media platforms with a specific mention or reference to Cannawayz, you give Cannawayz exclusive permission to distribute and make available this specific content in multiple forms, including, and without limitation, on any of our social media accounts, Websites/Services, e-mail newsletter, forum posts and other forms of media that we desire to upload to.
If any of your User Content is taken and used by a third-party in a way that violates our Terms, our Revised Terms, or our Privacy Policy, you agree that Cannawayz can take legal action against the third-party. Note that in the case of any legal proceedings, Cannawayz is not be obligated to distribute any recovered winnings to you that may be obtained in connection with such a legal action.
You (the user) understand and agree that the creation, transmission, distribution, public display, downloading, and copying of your User Content does not and will not infringe upon any proprietary rights or cause injury to any other person or entity, including any such person or entity using the Websites, Services, or other media associated with Cannawayz.
In the event that a third-party infringes upon any of your trademarks, patents, copyrights, trade secrets, or other intellectual property, you give Cannawayz the right to pursue enforcement of copyright, trademark, trade secret, and other intellectual property related claims against third parties that have, without receiving proper authorization, and in violation of our Terms, our Revised Terms or our Privacy Policy, fraudulently manipulated, copied, transmitted, distributed, or otherwise improperly or illegally used and benefited from User Content that has been provided to Cannawayz by you.
Cannawayz is under no obligation to post any User Content that you provide and reserves the right to post our own modified or un-modified versions of your User Content as Cannawayz Content.
You (the user) have either the written consent and/or express permission of each and every identifiable person in your User Content to use that specific person’s name, image and likeness, and/or other identifiable information in your User Content for any use permitted by these Terms.
You (the user) will not post, stream, transmit, broadcast, or otherwise make publicly or privately available any User Content that is illegal, fraudulent, defamatory, bigoted, offensive, profane, slanderous, obscene, lewd, violent, tortious, libelous, pornographic, threatening, abusive, derogatory, harassing, vulgar, invasive of another’s user or person’s privacy or publicity rights, hateful, or racially, ethnically, or otherwise objectionable (from now on referred to as Offensive Content).
You allow Cannawayz the right to monitor the User Content you submit and any other electronic or non-electronic communications that you may have.
Note that Cannawayz is under no requirement to monitor any of the User Content that you post.

By registering with Cannawayz and submitting User Content, you agree that you may expose yourself to liability if, for example, you User Content contains material that is false, intentionally misleading or libelous; violates any third-party right, including but not limited to, any trademark, copyright, patent, inappropriate use of image and/or likeness, company trade secret, privacy right, right of publicity, or any other intellectual property or proprietary right.

If any of your User Content contains material that is illegitimate, including hate speech or racist speech, pornography, exploits, material harmful to minors or otherwise violates or advocates the violation of any law or regulation, you will be held individually liable via the information represented under your User Profile.

User Licenses and Third-Party Data

The user may retain original ownership of any content that he or she posts, streams, broadcasts, transmits, submit, provides, or otherwise makes available on or through the Websites/Services. Nonetheless, by submitting User Content, you permit Cannawayz, its Websites/Services and any and all affiliates of Cannawayz to royalty-free, non-exclusive, perpetual, sub-licensable and transferable rights and licenses for the following uses:

Cannawayz may index, host, create cookies, broadcast, cache, archive, submit, transmit, stream and create specific programs and algorithms based on, modify, or transcode your User Content to media formats, standards, or mediums in any and all forms. Cannawayz reserves the rights to do so by whatever means whether now known or potentially devised or created in the future.
Cannawayz may use your User Content, in whole or in part, for advertising, promotional, or commercial purposes, including without limitation, the right to publicly display, reproduce, and distribute your User Content in any and all forms of media and by whatever means whether now known or hereinafter devised or created.
Cannawayz may utilize, broadcast, transmit, transfer, license, sell, stream, index, archive, digitize, distribute, reproduce or modify, commercialize, publicize, adapt, communicate, translate, remove, trash, analyze, prepare derivative works and compilations of, compress, integrate, insert, market, and promote your User Content in any and all forms and media and by whatever means whether now known or potentially created in the future, and to exploit any and all allied, ancillary, and subsidiary rights relating thereto and derived therefrom
Cannawayz may grant another third-party, whether it is affiliated with Cannawayz or not, the license to distribute content as described through clauses (1-3).

NOTE: By registering, accessing and using Cannawayz, you agree that you irrevocably waive against Cannawayz, its officers, employees, agents, members, and its users, any claims and assertions of moral rights or attribution with respect to your User Content.

By using our Websites/Services, there is a possibility that the user may be exposed to a small portion of Offensive Content that may be indecent or objectionable to some viewers. Under no circumstances will Cannawayz be liable in any way for any such Offensive Content, including, but not limited to, any errors or omissions in any Offensive Content, or any loss or damage of any kind incurred as a result of any Offensive Content uploaded, posted, transmitted, broadcast, transferred, or otherwise made available via Cannawayz, its Websites/Services, and any other media, service, or website that is affiliated or not affiliated with Cannawayz.
Cannawayz is NOT required to nor does it guarantee the accuracy, integrity, quality, or authenticity of any of its User Content. All User Content posted is done so by the user and not by Cannawayz or any of its affiliates.
By registering, accessing or using Cannawayz, you hereby grant us the irrevocable right and license to use any photos, videos, images, data, user content, or information that is pushed or otherwise transferred to us through APIs (associated with our Websites/Services) by you or by any third-party on your behalf (referred to as Licensed Data) for any purpose relating to Cannawayz or for any purpose relating to our Websites/Services. This includes displaying any photos, videos, images, data, user content or information on the Websites/Services.
You acknowledge and agree that we shall have the right to improve, modify, adapt, digitize, publicize, reformat, derive and/or reprocess any of the Licensed Data and that we obtain the exclusive right to own all derived works, graphical layouts, compilations, transmissions, broadcasts, modifications, adaptations, analyses, and interpretations of the Licensed Data.
Understand that any and all streams, interpretations, broadcasts, transmissions, modifications or translations of any of the Licensed Data prepared by Cannawayz shall be owned exclusively by us. These are the rights you grant us by registering, accessing or utilizing the Cannawayz platform.

Social Media

Cannawayz may also provide users with the ability to login to our Websites/Services (and Websites/Services that are affiliated with Cannawayz) with login information from specific social networking Websites/Services that Cannawayz has chosen to utilize (e.g., Instagram, Facebook). Understand that if you log-in/associate your User Account with your user credentials from a social networking website, we may use any information that you post or any information that is about you that is from or displayed on your social networking account. However, we can only do so in accordance with the terms, agreements, disclosures, notices and related legal and user policies of the relevant social networking website.

If the user ultimately chooses to share any of their personal information with any number of social networking Websites/Services, we will then share this information with the websites you name, in accordance with your election, and per their terms and conditions.

Delivery Orders/Pick-Up Orders System

Cannawayz provides users with the authority to transmit orders for many cannabis/cannabis-related products (flower, concentrate, CBD, etc.) and arrange for delivery or pick-up of such products through third-party, unaffiliated vendors (hereafter, referred to as Cannawayz Orders). Cannawayz Orders is essentially a third-party online marketplace platform for customers (users, members) to transmit specific cannabis-related product orders with official participating retailers (business or entity officially registered with Cannawayz).

Cannawayz exclusively provides order transmission services. Our system of delivery orders is purely a communications base for customers (users) and business entities to complete related transactions.

Please understand that as of now, Cannawayz is not a retailer/merchant of cannabis or cannabis-related products. Cannawayz is NOT a provider of any pick-up/delivery services in connection herewith, and Cannawayz does not control the business/entity or the production of any cannabis-related products, or any pick-up/delivery services in connection with such a business/entity.

Each of the businesses that we host on our Websites/Services have entered into agreements with Cannawayz or its partners (affiliates) where they have made representations that they currently are compliant with applicable law and will comply with applicable law in their use of our delivery/pick-up system. Please understand that Cannawayz and its affiliates are under no obligation to, nor do we independently verify the credentials or personal information of any of the businesses/entities, the authenticity, integrity or quality of any of their products/services, or any businesses’ compliance with applicable law.

By signing up, accessing or using Cannawayz, each business/entity confirms that they are compliant with all applicable laws, current or hereafter devised or created.

Customers using our delivery/pick-up system must make themselves comfortable through the information provided by the businesses/entities on the Websites/Services, and by contacting the business directly, or through other methods as they choose appropriate, as to the quality and reliability of the business and the business’ compliance with applicable law, both current and hereafter devised or created.

Cannawayz, including its Websites/Services, do not in any way guarantee the quality, authenticity, integrity and reliability of any business/entity or any cannabis-related product, or any pick-up or delivery service in connection therewith, or any business’ compliance thereof with applicable law. In addition, different businesses may represent specific regulations or standards with respect to their cannabis products (or other services, products, etc.), such as labeling such products as all-natural, organic, pesticide and chemical free, specific potency levels, undergoing specific lab-testing procedures, fungus levels, certain terpene or cannabinoid contents (THC/CBD levels, for example), having certain bodily, psychological or medicinal effects, or other effects, etc.

By registering, accessing or using Cannawayz, you confirm and ultimately agree that Cannawayz and its Websites/Services, officers, employees, members, affiliates and partners do not investigate or verify any statements made by the businesses or entities registered under our platform. In addition, customers should know that any such statements have not yet been evaluated by the Food and Drug Administration (hereafter, FDA).

Please understand that Cannawayz and its applicable affiliates make no claims meant to cure, diagnose, or treat any disease or medical condition. It is imperative that all customers consult their respective physician/doctor before starting any treatment or using any cannabis-related products during pregnancy or if they have a serious medical condition. Cannawayz, its employees, partners, officers, affiliates, and members are NOT responsible for any damages, including but not limited to physical or mental harm, loss of life, or other incidents that may occur as a result of cannabis product usage.

By accessing, registering and using Cannawayz, you hold Cannawayz and its affiliates innocent, harmless, and not responsible for any cannabis-related products, or any other services, offered by the businesses or any errors, fraudulence, false information, or misrepresentations made by them (either on our Websites/Services, Cannawayz Orders or other services that we may choose to provide currently or in the future).

By using Cannawayz Orders, you warrant, consent and covenant that:

You will either post, upload, or maintain in your User Profile a factual, valid, unexpired government-issued identification card. All users and businesses must comply unless other prior written consent is given by Cannawayz.
In the case that you will be ordering medical cannabis or cannabis-related products, you MUST have a recommendation for medical cannabis that is valid in the appropriate jurisdiction.
Recreational users that reside in the state of California must be twenty-one (21) years old or above to order
Your access and use of the Websites/Services, including Cannawayz Orders (delivery/pick-up system), does not violate any pertinent state or local law, including but not limited to any legal requirements for orders you place through Cannawayz Orders. Upon delivery or pick-up, you agree to present the same valid identification card you used upon registration. Under the applicable and appropriate law, you must provide evidence of your age as well as your original recommendation if you order cannabis.
If you do not comply with any of the terms listed above, in regard to placing an online delivery order (Cannawayz Order), you agree that cannabis products may not be released to you by the applicable business/entity, and you will forfeit the cost of such products. In such an event, you agree to hold Cannawayz completely harmless and innocent of any damages arising from a loss of product, monetary loss, or other incidents.

Employees of Cannawayz

Please understand that all employees of Cannawayz, its officers, agents, affiliates and partners are permitted to use our Websites/Services in their personal capacity (therefore, they are not utilizing the website in the scope of being employees, representatives, or agents of Cannawayz or its partners) in the transactions conducted through the Websites/Services. Employees of Cannawayz or any of its partners/affiliates, when participating in any transaction in their personal capacity, are subject to the same procedures and guidelines specified in the Terms, Revised Terms, Privacy Policy, any agreements, notices, or disclosures. In a sense, they are to be treated as any customer, business/entity or user on the applicable website or service when using it for their personal use.

Third-Party Content

Understand that our Website/Services will potentially broadcast, display, publicize, publicly display or make available Third-Party Content (this includes but is not limited to data, notices, disclosures, informational articles, applications or other products, and services) or exhibit links/portals to third-party websites, services, and advertisements for third-party offers (hereafter referred to as (Third-Party Content).

By registering, accessing or utilizing Cannawayz, you agree, warrant and covenant that:

You recognize and consent that Cannawayz is not only harmless but also not responsible for Third-Party Content, including but not limited to their legitimacy, correctness, completeness, timeliness, intellectual property compliance, validity, copyright compliance, legality, quality, or any other aspect mentioned above.
Cannawayz is not responsible for any potential damages including but not limited to cyber viruses, cyber-attacks, or any other potential software or hardware malfunctions.
You acknowledge that Cannawayz is not responsible for and will not have any liability or responsibility to you or any other individual, business, entity or user for any Third-Party Content. Third-Party Content and links are provided solely as a convenience. You open them and access them exclusively at your own risk.

Cannawayz Liability

By registering, accessing and using Cannawayz, you agree to indemnify, release and hold Cannawayz’ team harmless from any and all losses suffered, including but not limited to all damages, liabilities, suits, claims, court judgements, actions, awards, penalties, fines and expenses (including reasonable attorneys’ fees) arising from or relating to any claim or demand made by any third-party due to or arising out of or otherwise relating to:

Understand that Cannawayz reserves the exclusive right to acquire the sole defense and control of any matter for which the user is obligated to compensate Cannawayz or any other indemnitee that may potentially be affiliated with Cannawayz and its team. Please understand that you, as the indemnitor, hereby agree to cooperate with our defense of these claims. Furthermore, the user agrees not to settle any claim, action, suit, arbitration or other dispute settlement without the prior written consent of Cannawayz. Cannawayz always uses reasonable efforts to contact you and any related party to any such dispute, claim, action, or proceeding upon becoming aware of it.

If there is a dispute between users or members of the Websites/Services, including between certain customers and businesses, you (the user) understand and consent that Cannawayz and its affiliates (including our Websites/Services, Cannawayz’ partners, affiliates, and Cannawayz Orders) are under no obligation to become involved in any dispute resolution or settlement.

Please remember that anytime you access, register, or utilize Cannawayz, you automatically indemnify, hold harmless, release and permanently discharge Cannawayz (its owners, affiliates, related Websites/Services, directors, managers, employees, officers, partners, agents, independent contractors and successors) from, and abandon and ultimately waive your rights with respect to, every past, present, and future dispute, action, suit, claim, conflict, obligation, liability, and cause of action of every kind (including but not limited to personal injuries, death, and property damage), that has arisen or arises directly or indirectly out of any interactions, related or un-related, with an act or omission of, our affiliates, partners, directors and other Websites/Services or Third-Party Content that may or may not be affiliated with the Cannawayz company and team.

Please realize that this release includes a discharge of any dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action arising out of or in any way related to a, regardless of whether such dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action are suspected or unsuspected, warranted or un-warranted, known or unknown and disclosed or undisclosed.

California Civil Code; Section 1542

There is a special disclaimer for those individuals who are residents of the state of California. Please understand that if you reside in California or you are a resident of a state with a similar law as the following, you automatically waive California Civil Code Section 1542 (hereafter, CCC 1542) in connection with the statements made above. At Cannawayz, we acknowledge that you own your User Content; however, we hold the exclusive rights to any and all Cannawayz Content, including but not limited to any of our visual development (visual interfaces, etc.), source codes, APIs, interactive features, graphics, design, compilation, including our compilation of User Content and Website/Services content, source codes, all written computer codes, APIs, products, software, data, user review ratings and all other elements and components of the Websites/Services, ultimately excluding User Content and Third-Party Content.

Please understand that at Cannawayz, we own all patents, patent applications, trade secrets, trademarks, trade names, copyrights, service marks and other intellectual and proprietary rights throughout the world (Cannawayz Intellectual Property or Cannawayz IP) associated with the Cannawayz Content (including but not limited to any advertisements, website codes, images, graphics, photos and videos), and the Websites/Services, which are ultimately protected by specific copyright, trade secret, patent, trademark laws, and all other applicable intellectual property and proprietary rights and laws.

Therefore, according to the foregoing, members/users may not use, modify, duplicate, obscure, rent, lease, copy, loan, sell, reproduce, manipulate, broadcast, stream, republish, download, post, transmit, scrape, reverse engineer, distribute, create derivative works or adaptations of, publicly display, or in any way exploit any of the Cannawayz Content, its Websites/Services or any of the mentioned Cannawayz IP, directly or indirectly, unless expressly authorized by us with prior written and verbal consent. Note that we do not grant you any express or implied rights, and all rights to the Websites and the Cannawayz Content are ultimately retained by us.

Violation of Copyright Law; DMCA 1998

At Cannawayz, we take copyright and trademark law seriously. Understand that it is Cannawayz’ policy to disable, eliminate access to and/or terminate the accounts of users who repeatedly infringe or are repeatedly suspected of infringing the copyrights/trademarks/patents of all members, users, Cannawayz Content, partners and affiliates of Cannawayz. In accordance with the Digital Millennium Copyright Act of 1998 (hereafter, DMCA 1998), the text of which can be found on the U.S. Copyright Office website, Cannawayz will respond promptly to any claims of copyright infringement taking place on our Websites/Services and any Websites/Services that are associated with Cannawayz.

If you have property that is copyrighted, or you are the legitimate representative of a copyright owner, or you are an authorized representative permitted to act under an exclusive right per an applicable copyright, please report alleged copyright infringements taking place on or through the Websites/Services by filling out the following DMCA Notice of Alleged Infringement and delivering it to Cannawayz in accordance with the DMCA, these Terms, any Revised Terms and our Privacy Policy. Understand that Cannawayz grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and make personal and non-commercial use of the Websites and Services. This license does not include:

(a) Resale or any commercial or public use of the Websites/Services, or the content uploaded or publicly displayed on them (Cannawayz Content).

Mobile Software Rights and Exceptions

Please understand that according to these Terms, any Revised Terms, and the Privacy Policy, we hereby grant you a non-transferable, non-revocable, non-exclusive license to install and use the software Cannawayz makes available exclusively for certain mobile devices (for iOS or Android), in executable object code format only, solely on your mobile device and for your noncommercial use. By registering, accessing or utilizing Cannawayz, you hereby acknowledge and agree that the availability and registration of our smartphone app is dependent on the third-party app platform from which you received the Mobile App (Mobile Platform). You acknowledge that these Terms concern you and Cannawayz, and not the Mobile Platform from which you downloaded our App. Cannawayz is exclusively responsible for the smartphone application (iOS or Android), any content thereof, bug and code maintenance, support services, and warranty therefore, and addressing any claims relating thereto, including but not limited to product liability, legal compliance, or intellectual property infringement. Please understand and recognize that every Mobile Platform may have separate terms to which you must agree before downloading the Mobile App from it. You agree to comply with, and your license to use the mobile application is conditioned upon, your compliance with all the relevant notices, agreements, disclosures, terms and conditions of use/service, and other policies of the applicable App Platform.

Export any Cannawayz or Website Content out of the jurisdiction in which it is intended or displayed, including but not limited to digitizing, publicly displaying, monetizing, or commercializing any of Cannawayz’ Content.
Access the Websites/Services in order to build a similar or competitive Website or Service.

Prolonged inactivity of your account or your business/entity, ultimately determined by Cannawayz.
Any intentional or unintentional, willing or unwilling, and/or negligent engagement by you in any form of illegality, deceitfulness, fraudulence, counterfeit or otherwise inappropriate and Offensive Content
Failure by you, or by any representatives, agents, independent contractors, employees, directors, and officers, authorized by you, to pay, in full, any fees owed by you in connection with the Websites/Services premium services, or any related or affiliated Website/Service or business. Laws and Policies Regarding Litigation

By registering and continuing to use the Cannawayz platform, you certify that you agree to be bound by the laws of the state of California, excluding California’s conflict of laws rules. All claims arising out of or relating to these Terms, any of the Revised terms or any of the Websites/Services will be litigated exclusively in the federal or state courts of Los Angeles County, California, and you and Cannawayz consent to personal jurisdiction in those courts.

Our Rights

Should Cannawayz neglect or fail to enforce any rights or provisions of these Terms, such an act will not constitute a waiver of future enforcement of that specific limitation, section or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Cannawayz. Note, should a court of applicable jurisdiction find any statements of provisions of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these terms will remain fully enforceable.

Transferring User Content

At Cannawayz, we understand that entering your information and User Content into another website is both mundane and redundant. Therefore, with your acceptance, we will allow you to transfer over your User Content and Personal Information simply by clicking a button. By checking the specific box, you will indicate your assent to transfer any and all personal information as well as User Content onto our Websites or Services.

Cannawayz’ Liability

Cannawayz is under no obligation or capability to guarantee constant, stable, continuous, or secure access to any of our websites, mobile applications, services, social media accounts, programs, content, other websites affiliated with Cannawayz’ team and its network, and operation of the Websites/Services may be interfered with or delayed by numerous potential factors outside of Cannawayz’ control. Cannawayz shall not be liable under any circumstances for any costs, debt or business defaults, company defaults, or the material information of any written communications, documents, or for any inappropriate and fraudulent communications among users and any business/entity, including between users, specific listings, advertisements, physicians, and all related parties, in any way associated with our Websites/Services or Mobile Applications.
Please understand that any burden or accountability for any claims under these Terms, any Revised Terms, or the Privacy Policy is limited to the greater of (1) the amount of fees in dispute, which ultimately cannot surpass the total fees which you paid to us in the 12 months prior to the action giving rise to the liability; or (2) $150.

By registering, accessing and/or utilizing Cannawayz, you represent and warrant that you are not (1) a national or resident of a country that is subject to any U.S. trade sanctions, or (b) a person or entity on the U.S. Treasury Department’s list of Specially Designated Nationals and Blocked Persons. If you are acting behind an entity or person under the latter list, you will be suspended, your account terminated and all future access or use of our Websites/Services and mobile applications will be permanently blocked. Account Rights

You agree that your Cannawayz account is non-transferable and any rights to your user identification, User Content, or contents within your accounts (or similar accounts under similar credentials) terminate upon your death.
